Terms of Service

These Terms of Service ("Terms") govern your access to and use of Mainbase ("Mainbase", "we", "us", or "our") and the document management platform and related services we provide (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, signing in, or otherwise using the Service, you confirm that you have read, understood, and accepted these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Mainbase provides a cloud-based platform for managing engineering drawings, schematics, and related technical documentation for industrial facilities. Features may include uploading, organizing, tagging, searching, annotating, sharing, and collaborating on documents.

3. Account Registration

You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at support@mainbase.net of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload, store, or transmit content that infringes the rights of others or contains malicious code.
  • Attempt to interfere with, disrupt, or compromise the integrity or security of the Service.
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service, except to the extent permitted by applicable law.
  • Use automated systems to scrape, crawl, or harvest data from the Service without our express written permission.
  • Resell, sublicense, or otherwise commercially exploit the Service without our express written permission.
  • Use the Service to impersonate another person or misrepresent your affiliation with any person or organization.

5. User Content

You retain all ownership rights in the content you upload to or create on the Service ("User Content"). You grant Mainbase a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, modify, and process your User Content solely as needed to provide and improve the Service. You represent that you have all rights necessary to grant this license and that your User Content does not violate the rights of any third party.

6. Intellectual Property

The Service, including all software, designs, text, graphics, and trademarks, is owned by Mainbase or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted by implication.

7. Fees and Payment

The Service may be offered free of charge during a beta or trial period and may include paid plans in the future. If you subscribe to a paid plan, applicable fees, billing terms, and refund policy will be presented at the point of purchase. We may change pricing or introduce new fees with reasonable advance notice.

8. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, in whole or in part, at our discretion, including if we reasonably believe you have violated these Terms or pose a risk to the Service or other users. Upon termination, your right to access the Service will cease, and User Content may be deleted in accordance with our retention practices.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. MAINBASE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAINBASE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MAINBASE FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Mainbase and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Missouri, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Missouri, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice (such as by updating the "Last updated" date above or by email or in-product notice). Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mainbase regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent.
